William W. Thorsness is a Shareholder in the Litigation and Corporate practice areas of Vedder Price’s Chicago office.

Mr. Thorsness has broad experience in complex commercial litigation, including securities fraud, shareholder disputes and bankruptcy litigation.  His practice frequently includes representing companies and individuals in government investigations and securities litigation, conducting internal investigations, counseling clients during regulatory examinations, counseling clients on Foreign Corrupt Practices Act (FCPA) matters and providing general compliance and remediation advice. He regularly practices before the Securities and Exchange Commission (SEC) and other federal and state agencies.

Mr. Thorsness has successfully represented public companies, investment advisers, broker-dealers, accounting firms and officers and directors in complex matters involving financial statement restatements, alleged financial fraud, books and records and internal control violations, whistleblower allegations, conflicts of interest, board governance and oversight, supervision and insider trading.

Mr. Thorsness’ practice also focuses on helping businesses find valuable and cost-effective solutions to complex bankruptcy and insolvency-related issues. In this capacity, he primarily assists commercial lenders, finance companies, equipment lessors and other secured and unsecured creditors in protecting their assets and interests in bankruptcy cases, foreclosures, out-of-court workouts and other insolvency proceedings, as well as through sales under Article 9 of the Uniform Commercial Code. He also represents businesses and private equity firms looking to acquire assets in the distressed marketplace, including through Section 363 bankruptcy asset sales.

Mr. Thorsness has nearly ten years of experience in the Bankruptcy Courts, where he has handled all aspects of the bankruptcy process, including debtor-in-possession financing and cash collateral disputes, adequate protection fights, Section 363 auctions and asset sales, chapter 11 plan formation and confirmation, claims objections, preference actions and fraudulent transfer litigation.

Mr. Thorsness was selected for inclusion in 2010 and from 2012 to 2017 as an Illinois Rising Star by Super Lawyers Magazine. In addition, he was selected as an Illinois Emerging Lawyer, an affiliate of Leading Lawyers, from 2014 to 2017.
