Ayn L. Moldave is Counsel in Vedder Price’s Los Angeles office and a member of the firm’s Global Transportation Finance team.

Ms. Moldave is an experienced transaction attorney whose practice focuses on commercial, cargo and corporate aircraft transactions. Ms. Moldave has extensive experience in representing and advising major international lessors, owners, sellers and purchasers in a wide variety of aircraft leasing and finance transactions. Her experience includes, inter alia, operating, finance, synthetic and leveraged leasing, new fleet acquisitions, secured and unsecured financings, sales, purchases, assignments, novations, beneficial interest transfers, restructurings, repossessions and asset securitizations as well as all types of arrangements to which an aircraft may be subject during its lifetime or the tenure of a leasing arrangement (servicing arrangements, maintenance agreements, general terms agreements, etc.). Ms. Moldave’s experience also includes familiarity with both US and English law and spans multiple foreign jurisdictions.

Prior to joining Vedder Price, Ms. Moldave worked for over ten years at some of the top-ranked law firms in the United States and eleven years as in-house counsel for MC Aviation Partners, CDB Aviation and ALAFCO Aviation and Lease Finance (where she was a member of senior management). One of Ms. Moldave’s focuses for these international lessors was to help set up and develop their legal departments, with an emphasis on the interaction of the legal department with other essential leasing departments. Before practicing law, Ms. Moldave worked for seven years in both Los Angeles and New York as a corporate & investment banker specializing in aircraft and equipment leasing where she was involved with providing debt and equity funding and arranging leasing transactions.

Ms. Moldave taught the Contract Management module at University College Dublin’s MSc in Aviation Finance.

Experience

  • Represented major lessor in sale/leaseback of 14 Airbus A320NEO aircraft, completing lease agreement in 6 days and delivery of first aircraft in 10 days from execution of letter of intent.
  • Represented major lessor in sale and novation of 14 aircraft involving 11 jurisdictions and subsequent financing as seed portfolio for joint venture.
  • Represented major lessor in re-leasing of 3 new Boeing 737 aircraft following original lessee failing to take delivery from Boeing delivery center, with delivery of first aircraft to new lessee within 3 weeks of execution of letter of intent.
  • Represented major lessor in workout and restructuring of operating leases of 2 Airbus A350 aircraft to affiliated group airline in connection with settlement for $34 million lawsuit.
  • Developed form documents, including model lease agreements, for 3 major lessors, including training programs for team members from legal and non-legal departments.
