Thomas E. Schnur is a Shareholder at Vedder Price and a member of the firm’s Finance and Transactions group.

Mr. Schnur counsels clients in a variety of corporate law matters.

In his commercial finance practice, Mr. Schnur has extensive experience in structuring, negotiating and documenting complex commercial loan transactions. He represents leading financial institutions in both syndicated and single lender credit facilities, including leveraged finance and cash flow credits and asset-based credits, in a variety of contexts including sponsor acquisitions, unitranche facilities and first lien/second lien transactions. In addition, his practice encompasses, cross-border transactions, private placement transactions, ESOP financing transactions, and mezzanine and subordinated debt financings. He is experienced in representing financial institutions in workout and reorganization matters and debtor-in-possession financings.

In his mergers and acquisitions practice, Mr. Schnur represents buyers and sellers of businesses in stock and asset acquisitions, mergers, divestitures, corporate restructurings, joint ventures and venture capital transactions.

In his general corporate practice, Mr. Schnur represents middle market corporations as outside general counsel with respect to their corporate legal matters. Mr. Schnur has particular experience in health care finance transactions.

Mr. Schnur has been selected by his peers as a Leading Lawyer in Corporate Finance from 2011 to 2023, and in Secured Transactions Law from 2013 to 2021. He received a “BV Distinguished” Peer Rating in Martindale-Hubbell.

Mr. Schnur is active in a number of professional organizations, including the Secured Finance Network and the Association for Corporate Growth.
