Samuel Esclavon is an Associate in Vedder Price’s New York office and a member of the firm’s Securities & Capital Markets group.

Mr. Esclavon focuses his practice on representing investment banks in commercial lending and public and private capital market transactions including, high-yield bond offerings, tender offers/consent solicitations, bank financings and syndicated loans. He also has experience drafting and negotiating asset-based revolving credit agreements, purchase agreements, underwriting agreements and indentures in collection with public and Rule 144A/Regulation S debt offerings.

Mr. Esclavon has experience drafting loan documents in connection with secured and unsecured syndicating loan facilities, including security agreements, intellectual property security agreements, intercreditor agreements, engagement letters, fronting letters and payoff letters.

Mr. Esclavon received his law degree from Cornell Law School and his undergraduate degree, cum laude, from CUNY Hunter College. While in law school, he was an Associate Notes Editor for the Cornell Law School International Law Journal.
