Sam Tyfield, a Partner in Vedder Price's London office and member of the firm's Investment Services and Finance & Transactions groups, recently authored the article "MAR Consultation Papers: An Overview" for RegTechFS, an online platform hosted by regulatory think tank JWG.
In the article, Mr. Tyfield provides an overview of the two recent European Securities and Markets Authority (ESMA) consultation papers (CPs) regarding the Market Abuse Regulation (MAR). CP1 discusses draft technical standards concerning MAR and touches upon insider trading and market soundings. CP2 discusses draft technical advice on delegated acts relating to MAR, and focuses primarily on clarifying indicators of market manipulation. Mr. Tyfield notes how ESMA addresses accepted market practices, suspicious transactions reporting and order reporting in CP1, and goes on to highlight the various indicators of market manipulation and abuse proposed by CP2.
