Rachel Behar

Rachel Behar is an Associate in Vedder Price’s New York office and a member of the firm’s Investment Services group.

Ms. Behar focuses her practice on legal and compliance matters for investment advisers and unregistered investment vehicles, including private equity funds, hedge funds, funds of funds, real estate funds, credit funds, special situation funds and other investment entities and separately managed accounts.

She advises clients on all aspects of private fund formation, including structuring, marketing and side letter negotiations, and top-level structuring of investment advisers and general partners, including governing documents, employment matters and restrictive covenants, incentive awards and ongoing compliance. 

Ms. Behar has launched private funds and negotiated strategic relationships that invest in a variety of asset classes, including real estate, aircraft and other alternative assets. She also represents investors, including family offices and institutional clients, in reviewing and investing in private investment vehicles.

Ms. Behar represents investment advisers on strategic acquisitions and sales. In addition, she routinely advises on regulatory and compliance matters affecting investment advisers.

Ms. Behar received her law degree from the Benjamin N. Cardozo School of Law and her undergraduate degree from the University of Central Florida. While in law school, Ms. Behar served as Editor-In-Chief for the International Comparative, Policy & Ethics Law Review, now known as the Cardozo International and Comparative Law Review.

Ms. Behar represents investment advisers on strategic acquisitions and sales, lift outs and recapitalizations. In addition, she routinely advises on regulatory and compliance matters affecting investment advisers.

Ms. Behar received her law degree from the Benjamin N. Cardozo School of Law and her undergraduate degree from the University of Central Florida. While in law school, Ms. Behar served as Editor-In-Chief for the International Comparative, Policy & Ethics Law Review, now known as the Cardozo International and Comparative Law Review.
