Kate Wharton is an Associate in Vedder Price’s Chicago office and a member of the firm’s Executive Compensation & Employee Benefits group.
She focuses her practice on representing employers of all sizes in the design and implementation of employee benefits and equity compensation plans.
Ms. Wharton has assisted domestic and international companies in matters related to securities law compliance, tax compliance, exchange control and labor law issues, and has advised companies regarding the international regulatory issues associated with acquisitions, spin-offs and public offerings. She has extensive experience drafting plan documents, prospectuses, tax supplements, data privacy notifications, employee communications, resolutions and other materials for use in the United States and abroad. She also advises companies regarding foreign regulatory issues related to leave of absence policies, part-time employee policies and restrictive covenants.
Ms. Wharton earned a Master of Laws in Taxation from Northwestern University School of Law, where she graduated with honors. She is a graduate of the Loyola University Chicago School of Law and received her undergraduate degree from the University of Michigan.
