Ms. Todd focuses her practice on representing public and private companies, investment banks and private equity funds in corporate finance, particularly in capital markets and derivative transactions, including high yield and investment grade debt offerings, Rule144A/Regulation S and registered equity transactions, debt and equity-linked (convertible preferred and warrants) securities, shelf, at-the-market (with forward component) and initial public offerings, and margin and secured asset-based loan facilities. She also advises clients on corporate governance and general corporate matters, 1934 Act periodic reporting, other SEC requirements, NYSE/NASDAQ listing and compliance standards.

Ms. Todd received her law degree from Fordham University School of Law, where she was awarded the Chapin Prize for attaining the highest weighted average throughout law school, and her undergraduate degree from San Jose State University.
