Francis X. Nolan, III is a Shareholder at Vedder Price and a member of the Global Transportation Finance team.

He represents international and domestic lenders, borrowers, investors, lessees, lessors, operators and shipbuilders, primarily in the transportation and defense industries. He has extensive experience in the financing of a wide variety of transportation assets and projects, including all types of vessels, drill rigs, locomotives and rolling stock, containers and related equipment. Mr. Nolan assists clients with a wide range of leasing transactions, including operating leases and leveraged and synthetic leasing structures, as well as cross-border transactions. He also represents clients in financing transactions for vessels under U.S. flag and numerous foreign flags, bareboat charter registries and under restricted flags, such as the U.S. Jones Act trades.

Admitted to the bars of both New York and California for over 40 years, he has authored articles on a variety of subjects, taught admiralty law for a number of years and lectures frequently in the United States, Europe and Latin America on transportation finance and related subjects. He is the author of the chapter “Financing of Vessels” in the Matthew Bender treatise Equipment Leasing as well as the article, “The Last Half Century of Financing Vessels,” published in the Tulane Law Review.

In recent years, Mr. Nolan drafted legislation to enhance collateral security positions of lessors in vessel charters used as financing instruments in several jurisdictions, including provisions currently in place in the Marshall Islands. He also served as the U.S. member of the Working Group of the Comité Maritime International (CMI) which recently completed a draft international convention, adopted by the CMI in June 2014, to facilitate international recognition of judicial vessel foreclosure sales.

Mr. Nolan has been named as one of the Top 10 Maritime Lawyers globally as part of Lloyd’s List’s “2018 Top 100 Most Influential People in Shipping” series. Lloyd’s List has been an authority on maritime news since 1734. He is one of only three Americans named. Lloyd’s List cited Mr. Nolan’s “reputation as a leading maritime finance attorney” and his election as President of the Maritime Law Association of the United States in 2018 as well as his “work this year in drafting changes to Liberia’s maritime laws, to allow those who hold title to vessels in lease structures to record their bareboat or demise charter as preferred mortgages.”

Mr. Nolan is a Titulary Member of the CMI and was named one of the top maritime finance lawyers in the United States by the Guide to the World’s Leading Shipping & Maritime Lawyers (Euromoney Legal Media Group). He was named in New York Super Lawyers from 2006 to 2018 and has been named among The Best of the Best USA for several consecutive years. Mr. Nolan was also selected by his peers from 2010 to 2018 for inclusion in The Best Lawyers in America. From 2012 to 2018, Mr. Nolan has been ranked in the Chambers USA Nationwide Transportation: Shipping/Maritime: Finance category and he was ranked in the Chambers Global Shipping: Finance category in 2018. In 2018, Mr. Nolan was recognized by Legal 500 United States in the Transport: Shipping—Finance category. He is a Member of the Board and President of the Maritime Law Association of the Unites States and served for five years as chair of its Standing Committee on Marine Finance.
