Mr. Eager focuses his practice on representing U.S.-registered investment companies and funds, their boards of directors/trustees, and investment advisers in regulatory compliance and governance matters under U.S. securities laws.  In addition, he regularly participates in board and committee meetings, providing advice on board governance, and fund compliance and regulatory matters.

Mr. Eager also serves as independent legal counsel to independent trustees of investment company fund complexes and advises boards on obligations in connection with fund mergers, liquidations and other significant transactions.

Prior to joining Vedder Price, Mr. Eager performed tax due diligence for domestic and cross-border mergers and acquisitions, dispositions, and restructuring transactions for private equity and multinational corporate clients. He has experience in analyzing tax forms, financial statements and applicable information to ascertain potential tax exposures and negotiating opportunities.  In addition, he has created tax models, conducted bankruptcy cost analyses and performed stock basis studies for several Fortune 500 companies.  During law school, Mr. Eager interned for the Securities and Exchange Commission (SEC).  At the SEC, he conducted investigations into various securities violations including insider trading, internal controls issues and fraud.  In addition, he inspected SPAC IPO audit work papers for PCAOB compliance.  Mr. Eager also researched and drafted legal memoranda on topics such as hearsay exceptions.

Mr. Eager received his law degree from The George Washington University Law School, his graduate degree in taxation from Villanova University and his undergraduate degree summa cum laude in accounting from Seton Hall University.
