Denise M. Tormey

Denise M. Tormey is a Shareholder at Vedder Price and a member of the Finance & Transactions group in the firm's New York office. She has more than 25 years of experience in financing and strategic transactions, including fund finance, private equity and venture capital investments and portfolio company representation.

Ms. Tormey regularly represents private equity funds, founders and portfolio companies in buy-side and sell-side transactions, working closely with clients to identify opportunities, develop efficient structures and advise on matters relating to rollover equity, earnouts, post-closing transition issues and exit strategies.

She advises lenders on a range of financing products, including capital call facilities, general partner support facilities and portfolio acquisition facilities, across a variety of fund sectors. She represents both lenders and borrowers in asset-based financing transactions.

Ms. Tormey has extensive domestic and cross-border M&A experience, including in regulated industries such as health care and cable television, and in complex transactions involving sophisticated intellectual property assets, and has represented buyers and sellers in asset sales in Chapter 11 proceedings.

She has advised Canadian and European entities with respect to matters arising under U.S. securities laws and in connection with their acquisition, sale, financing of or investment in businesses located in the United States.

Ms. Tormey has served as issuer’s counsel in both initial and secondary public offerings and private placements of debt and equity securities, and she routinely advises public companies on corporate governance, disclosure and compliance issues. She has acted as special counsel to independent committees of a number of boards of directors in connection with internal investigations and affiliated-party transactions.

Ms. Tormey's client base spans a range of industries, including online retail, travel, cable television, cosmetics and skin care, data privacy and technology. She serves as general corporate counsel for a number of clients and, in that role, provides advice on matters of corporate governance, financing alternatives, mergers and acquisitions, licensing, joint venture and distribution agreements and strategic planning.
