Ms. Thauer represents clients in mergers and acquisitions, add-on acquisitions, venture capital financings and growth investments.  She specializes in leading private equity funds, portfolio companies, venture funds and family offices through purchases of priced equity, secured and unsecured debt, convertible securities and hybrid securities.  Ms. Thauer counsels clients through investments at all stages of a target’s lifecycle, including initial investments, additional fundings and recapitalizations.  She prides herself in advocating for investor rights while maintaining perspective on a target’s operational practicalities and precedential impact.

Ms. Thauer also guides emerging companies through equity and debt financings, bridge financings, equity grants and additional capitalization matters.

Ms. Thauer received her law degree from the Loyola University Chicago School of Law and her undergraduate degree from Colgate University. While in law school, she was the Executive Editor for the International Law Review and received the CALI Award in Legal Writing II and Not-for-Profit Corporations.
