Fund Formation
Vedder Price attorneys provide a full range of services to a diverse financial services clientele. Attorneys practicing in the firm’s Fund Formation Group are experienced in all aspects of fund formation, federal and state investment company and investment adviser securities regulations, broker-dealer regulatory and compliance matters, derivatives and financial product matters, ERISA, tax and partnership matters. Vedder Price attorneys have also advised clients on the structuring and operation of nonregistered pooled investment vehicles. Vedder Price attorneys are experienced in creating group trusts, Delaware statutory trusts and limited liability companies. The firm is also experienced in obtaining exemptions from registration for pooled vehicles that fall within the statutory definition of an investment company but that have a basis for exemptive relief. In addition, the firm represents governmental pools that are outside the application of the Investment Company Act of 1940.
Clients include hedge funds, private equity and venture funds (including funds that are subsidiaries of or divisions within larger financial institutions), investment limited partnerships and individual investors. Transactions involve start-up and fund formation ventures, early-stage capital investments, growth capital, asset acquisitions, management buyouts, corporate recapitalizations and DIP financings, and the purchase of private and public companies through leveraged acquisitions.
Fund Formation
Vedder Price attorneys represent general partners and limited partners in the creation of private equity and hedge funds. These funds include hedge funds, private equtiy funds, venture funds, mezzanine funds, leveraged buyout funds, real estate funds, specific industry funds and funds of funds. Our coporate attorneys work closely with those lawyers in the firm who specialize in tax, partnerships, securities, ERISA and government regulation to make certain that these funds and their management companies and advisers are structured properly to obtain the business, tax and investment goals of their investors.
Derivatives and Financial Product Matters
Vedder Price provides a variety of legal services for clients using derivatives and other types of complex financial products. Vedder Price attorneys have experience representing members of the futures industry, including commodity trading advisors, commodity pool operators, futures commission merchants and introducing brokers. In addition, Vedder Price attorneys have handled CFTC registration matters for futures industry participants. Also, Vedder Price attorneys have drafted disclosure documents for futures industry participants and advised industry participants regarding promotional material and other compliance matters.
