Real Estate and Real Estate Tax Law

Attorneys in the firm’s Real Estate Practice Area work closely with health care attorneys to address the real estate issues affecting health care clients. Members of the Real Estate Area have been involved in all aspects of real estate on behalf of health care clients, from obtaining tax-exempt status for parcels of property to the sale and lease of hospitals and other medical facilities. Other areas of expertise include zoning, land use, site development, permitting and code compliance. Attorneys in the Area are currently representing a health care system in the sale and lease of certain of its hospitals and advising clients on the development of assisted living units for the elderly. 

Securities Law

The firm actively assists start-up and seasoned companies in the sale of equity or debt securities to raise capital for purposes ranging from financing ongoing operations to funding leveraged buy-outs. The firm’s attorneys are quick to team with the client and its investment banker and other professional advisors to structure the terms of the securities and the offering, prepare appropriate disclosure documents, handle due diligence investigations, and make necessary state filings. In addition to acting as counsel for issuers and for underwriters in public offerings, the firm has extensively counseled clients in the private placement of securities in amounts ranging from several hundred thousand dollars to tens of millions of dollars. The firm has recently been involved as issuer’s and underwriter’s counsel in connection with numerous initial public offerings. 

Health Care Transactions

Members of the Health Law Group draw on extensive experience gained by representing health care provider clients in a wide-range of corporate and regulatory matters when structuring and documenting corporate transactions for the firm’s health care clients. Provider Credit Matter Representation

Lawyers in the firm’s Health Care & Life Sciences Finance Group (the “HCF Group”) work closely with lawyers in the firm’s Health Law Group to assist the firm’s health care clients on legal matters pertinent to credit needs. HCF Group members draw on extensive experience gained by representing health care financing clients in a wide-range of credit matters when advising health care clients. Whether a line of credit or a cash flow loan, if a real estate mortgage or an equipment lease, the firm’s lawyers are uniquely positioned to advise clients on what is common in the health care financing industry and what new, creative structures might be of benefit to them. Provider Joint Ventures & Acquisitions

Members of the Health Law Group have been involved in numerous joint venture projects among health care providers, and between health care providers and other parties. These health care joint ventures have involved hospitals and physicians syndicating professional buildings, the leasing of medical equipment, and the provision of ancillary services, ambulatory surgical treatment centers and home health care ventures. They also have included joint ventures between providers and commercial insurance entities to create managed care organizations, between provider associations and an actuarial firm to create managed care software and between a major provider network and a marketing company. In structuring joint ventures we incorporate our firm’s expertise in the corporate, tax and finance areas, with special focus, if applicable, on the implications of a joint venture on the tax-exempt status of the participating health care entity.Health Care Private Equity & Venture Finance

Members of the Health Law Group work closely with members of the firm’s Finance & Transactions Group to represent private equity and venture finance companies at every point in the investment process, from helping companies and management teams negotiate and evaluate private equity transactions within the health care arena to restructuring and selling distressed health care businesses. The firm’s clients benefit from the regulatory and industry experience of Health Law Group attorneys, whether providing advice on trends within specific health care industries, conducting health care legal diligence, or assisting clients as they navigate the regulatory process. The firm’s growing private equity and venture capital client base includes early stage, growth capital, leveraged buyout and traditional private equity funds. Vedder Price represents private equity fund clients in a diverse range of activities, from fund formation to portfolio company guidance and representation. 

Insurance and Risk Management Analysis

Vedder Price has extensive experience in insurance law, representing both insurers and insureds in complex litigation concerning policy interpretation and coverage obligations, and in non-litigation contexts such as counseling, planning, regulatory compliance and risk assessment and management. We are thoroughly familiar with general liability, professional liability, directors and officers, property, automobile, errors and omissions and other coverages, and have experience in designing and obtaining appropriate insurance protection for our clients through our own expertise and wide contacts in the insurance industry, including the agent and broker communities. We have also designed, obtained regulatory approval for and assisted in administering sophisticated self-insurance and captive arrangements. 

In the course of representing health providers, our attorneys have worked with Health law attorneys to develop effective risk management techniques, including the review and development of internal provider processes to reduce exposure or improve control and reporting of incidents leading to unnecessary risk levels. In addition, we have assisted in the creation of structures and relationships with related and commercial insurers or risk-bearing entities to efficiently and effectively fund for unavoidable risk contingencies. Representative projects include:

  • Assessing risk management and liability issues in connection with managed care initiative and utilization review programs.
  • Creating an insurance trust to pool risk among providers within multi-hospital health system.
  • Creating self-insurance trust programs on behalf of professional and trade associations.
  • Forming an offshore captive insurance company to bear primary or excess risks, as well as interfacing with commercial reinsurance markets.
  • Auditing risk management practices and recommending changes necessary to implement formation of expanded hospital/non-institution provider network.
