Financial Institutions
The Financial Institutions Group of Vedder Price actively represents banking and savings institutions and other providers of financial services ranging in size from de novo institutions to those with more than $500 billion in assets throughout the United States and abroad in a broad spectrum of matters, including:
- Mergers and acquisitions and other strategic initiatives
- Formation and expansion of bank, thrift and financial holding companies and de novo institutions
- Conversion to stock form and mutual holding company reorganizations of mutual savings institutions
- Charter conversions to national or state banks or savings institutions
- Securities underwritings and placements as part of complete SEC representation
- Purchases and sales of branch offices and asset/liability pools
- Representation of institutions and management officials before the FDIC, OCC, OTS, Federal Reserve Board and various state regulatory commissions, as well as related "white-collar" criminal matters
- Design and implementation of new products/services, including formation of proprietary mutual funds and bank/insurance products and marketing systems
- Executive compensation arrangements and employee benefit plans, as part of complete IRS/ERISA/Department of Labor representation
- Credit structuring/loan and lease documentation, including multi-bank credits, securitization and equipment and project finance
- Technology licensing
- Creditor rights and lender and environmental liability matters
The members of the Financial Institutions Group include former senior legal officials of the OCC, OTS, the Illinois Commissioner of Banks and Real Estate and the U.S. Department of Justice. Numbering more than 20 professionals, the Group has one of the largest legal practices focusing on the corporate and regulatory affairs of financial institutions of any U.S. law firm.
