We represent clients in all phases of international transactions and disputes as well as before governmental and international agencies, on both an outbound and inbound basis. Working closely with our network of carefully selected, tried-and-true local counsel, Vedder Price efficiently serves clients in a myriad of jurisdictions around the world in connection with immigration matters, investments, transactions, dispute resolution, trade, taxes, and other international matters. Our international practice attorneys have lived and worked around the world, and many are fluent or have a working knowledge of Spanish, Portuguese, French, Catalan, Japanese, Italian, German, Russian and other languages.
Corporate Transactions
- Our corporate and employment attorneys have been involved in several acquisitions and divestitures of multinational companies, and work closely with our tax partners as well as with international accounting firms and appropriate local counsel to represents multinational companies in connection with: (1) setting up and capitalizing international affiliates to facilitate repatriation of profits and minimize tax (including on Intellectual Property), (2) determining appropriate intercompany pricing, (3) setting up appropriate management service agreements between parent company and off-shore affiliates, and (4) dealing with accounting and tax (and liability) issues relating to ex pats. Our tax attorneys design legal structures for our clients’ cross-border transactions and investments in a way that minimizes both host-country and home-country taxation, and have familiarity with international tax laws and bilateral and multilateral tax treaties, as well as the U.S. tax laws.
Global Transportation Finance
- Our attorneys have also represented sponsors, lessees, lessors, financiers and related parties, both domestic and international, in a broad range of project development and finance transactions, including those involving energy projects (gas-fired cogeneration, coal, coal gasification, waste-coal, biomass, hydroelectric, geothermal, wind, nuclear and municipal solid waste), airports, ports and equipment finance, such as aircraft, railcars, locomotives, vessels, computers, medical equipment, industrial production equipment, satellites, cars and trucks. The attorneys in the Global Transportation Finance Group have extensive experience in structuring and negotiating: leveraged leases (both on- and off-balance sheet); operating leases; cross-border and municipal leases; export finance leases; subleases; conditional sales; sale/leasebacks; securitizations (including equipment trust and pass-through certificates); multilayered debt financings; manufacturer-supported financings and government-supported financings.
Litigation and Arbitration
- Finally, our litigators have represented clients in complex commercial and construction litigations, including on behalf of and against sovereign states, governmental instrumentalities and international organizations. Such litigation and arbitration have involved a variety of areas, including engineering and construction contracts, securities, antitrust, RICO, lender liability, merger and acquisition, partnership and corporate governance disputes in finance, banking, insurance, real estate, oil and gas and manufacturing, hazardous waste insurance coverage, employment, breach of contract, antitrust, intellectual property and regularly involves obtaining discovery abroad, enforcement of judgments, choice of law and forum, the enforceability and scope of arbitration agreements and the Convention on Contracts for the International Sale of Goods.
