Ernest W. Torain, Jr. joined the Capital Markets and the Finance and Transactions Groups as a shareholder in Chicago in 2004. Mr. Torain represents companies and investment banks with respect to corporate finance transactions, including public offerings, PIPEs, private placements and related corporate securities matters. He has broad experience in managing the SEC registration or private placement processes. Mr. Torain also represents general partners and limited partner investors in private investment fund matters.
In the world of mergers and acquisitions, he represents corporate sellers as well as strategic and financial buyers in a wide variety of transactions, including tender offers, exchange offers and going-private transactions. Mr. Torain also regularly counsels financial advisors in connection with sell-side engagements.
Mr. Torain provides general corporate advice on a wide variety of issues, including periodic reporting under the Securities Exchange Act of 1934, shareholder and board of directors meetings, corporate governance and the creation and implementation of corporate compliance programs.
