Richard W. Pearse is a Shareholder in the firm’s Corporate Group. Mr. Pearse’s practice is concentrated in domestic and international Infrastructure Project Development and Finance. He represents international and domestic lenders, owners, manufacturers, OEMs, contractors and engineering firms in structuring, drafting, negotiating and administering project acquisition and loan documents, complex design, engineering, procurement and construction agreements, equipment purchase and sale agreements, supply and off-take agreements, operation and maintenance agreements, power sale/tolling agreements, interconnection agreements, steam agreements, fuel supply and transportation agreements, pipeline leases, joint venture/development/partnership agreements, equity commitments and guaranties, and related project and financing documentation.
Mr. Pearse has represented clients in development, financing and construction contracting for infrastructure projects such as airports, seawalls, roads, free-trade zones, power (gas-fired cogeneration, coal, coal gasification, waste-coal, biomass, hydroelectric, geothermal, wind, nuclear and municipal solid waste), ethanol and water treatment in the United States (including Puerto Rico and the U.S. Virgin Islands), Argentina, Aruba, Australia, Belgium, Brazil, Canada, Chile, China, Colombia, Great Britain, India, Italy, Lebanon, Mexico, Mongolia, Philippines, South Africa, Spain, Taiwan and Venezuela. He regularly advises clients regarding various international "doing business" issues, such as compliance with the Foreign Corrupt Practices Act, choice of law and forum and various international conventions and treaties.
Mr. Pearse has spoken on and written several articles and book chapters on a wide range of related topics, including the chapter on China for "International Public Procurement," Globe and Business (2009); "International Privatization" (Chapter 22) in Construction Law, Matthew Bender, 2003; the forthcoming Chapter 14: Industrial and EPC Projects for Illinois Institute of Continuing Legal Education Construction Law: Transaction Practice (2010); "Uncovering Hidden Costs," Independent Energy, June 1997; "Efficient Allocation of Construction Risk in Engineering, Procurement, Construction, and Validation (EPCV) Contracts," Pharmaceutical Engineering, July/August 2000; a chapter titled "Vendor-Led Engineering - Procure - Construct (EPC) Projects," in The Construction Business Handbook, published by Aspen Law & Business, 2004; and several recent articles published in Inside Supply Management: "Optimizing Service Outsourcing Arrangements," May 2003, "Legal Issues of Outsourcing," April 2003, "Selecting the Right Contracting Strategy," October 2002, and "Legal Issues of Consortium or ‘Group’ Purchasing," September 2003. In addition, Mr. Pearse has presented a seminar titled "Achieving Business Objectives Through Effective Contract Administration" to lawyers and contracting personnel at a number of private and public companies.
A graduate of Boston University, where he received a B.A. in 1976, Mr. Pearse was awarded an M.A. in 1980 from the University of Chicago and received a J.D. from Northwestern University in 1984.
Mr. Pearse was listed in the Expert Guides—Guide to the World’s Leading Construction Lawyers in 2011. He was also ranked in Who’s Who Legal for Illinois and was designated a Leading Lawyer by the Leading Lawyers Network. In 2011, Mr. Pearse was ranked in Chambers USA in the Illinois Construction category. The Legal 500 United States guide recommends Mr. Pearse in the Real Estate and Construction—Construction (including Construction Litigation) category. He has also been selected for inclusion in Illinois Super Lawyers.
