Karin Jagel Flynn joined Vedder Price as a Shareholder and is a member of the firm’s Investment Services group.
Before joining Vedder Price, Ms. Flynn had been a partner (and before that, an associate) of another Chicago firm. Her primary practice involves representing registered investment companies and their boards, including serving as counsel to the independent directors, which she has done for more than 20 years. In addition to her board experience, Ms. Flynn is particularly familiar with the regulatory filings required of open-end investment companies (including exchange-traded funds) and closed-end funds. Ms. Flynn also has experience in representing underwriters of revenue bonds issued for health care institutions. For many years, Ms. Flynn has represented two investment pools in Illinois that purchase money market instruments and are exempt from registration under the Investment Company Act.
Ms. Flynn spent a year (May 1993–May 1994) as an Associate Counsel at then-named Kemper Financial Services, Inc., where she was responsible for regulatory filings and sales literature review for many of the funds in what is now known as the DWS fund complex.
Ms. Flynn is the author of numerous client memos on investment management issues. She is a member of the Chicago Bar Association and the American Bar Association, including the Investment Company Subcommittees of each. Ms. Flynn formerly co-chaired the Investment Company Subcommittee of the Chicago Bar Association.
