Maureen A. Miller is a shareholder in Vedder Price’s Investment Services Group. Ms. Miller concentrates her practice on corporate and securities matters with a focus on investment companies and their boards of directors, investment advisers, broker-dealers and banks. She works with investment services clients on securities laws, regulatory issues, product design and implementation, compliance policies and procedures and transactional matters. Ms. Miller counsels boards of directors of open-end, closed-end and exchange-traded funds, and their independent directors on their special responsibilities.
Ms. Miller began her career at Vedder Price as an associate in 1986. From 1991 to 1996, Ms. Miller served as Vice President and Associate Counsel with Kemper Financial Services, Inc., where she was responsible for the legal services provided to several open-end and closed-end investment companies.
Ms. Miller is a member of the American, Chicago and Wisconsin Bar Associations. She is a member of the Subcommittee on Investment Companies and Investment Advisers of the American Bar Association. She is a past Co-Chair of the Chicago Bar Association’s Subcommittee on Investment Companies. Ms. Miller authored an article for CyberStrategies titled Financial Privacy Provisions. She is a frequent speaker at legal and industry conferences throughout the country and has spoken on soft dollars, valuation issues, the SEC’s privacy rules, trading practices, codes of ethics and the role of a fund’s board of directors.
Ms. Miller has received an “AV” Peer Rating from Martindale-Hubbell (which is the highest rating available).
