Mr. Rapp concentrates his practice in business aircraft transactions and operations; he has extensive experience in business aircraft acquisitions, sales, brokerage, leasing, finance and registration, as well as operations pursuant to Parts 91, 91(k), 125 and 135 of the Federal Aviation Regulations. Mr. Rapp’s expertise includes development and implementation of aircraft ownership and operating structures that are effective in dealing with regulatory, tax, and liability management considerations; aircraft brokerage agreements; aircraft purchase and sale agreements; aircraft finance and leasing; corporate flight department establishment; heavy maintenance and refurbishment agreements; aircraft management and charter agreements; fractional ownership and leasehold interests; state sales and use taxes; federal taxation of aircraft use and ownership, including depreciation and other eligible deductions; hangar leases; purchase and sale of aircraft parts and ground support equipment; and aircraft services agreements. Clients include business enterprises ranging from small family-owned operations through Fortune 500 companies; high net worth individuals; celebrities; professional sports teams; aircraft charter and management companies; aircraft brokers; and aircraft financiers.
In addition to his extensive experience and expertise in business aircraft transactions, Mr. Rapp brings a unique and valuable perspective to his practice. An FAA licensed pilot and former aircraft owner, Mr. Rapp formed and actively managed all aspects of a Fortune 300 corporate flight department with global aircraft operations. From supervising completions of new or refurbished aircraft on a factory floor to hiring and managing flight crew members and aircraft maintenance technicians, Mr. Rapp has more than a decade of hands-on business aviation operational experience.
Mr. Rapp is a member of the National Business Aviation Association, The Chicago Area Business Aviation Association and the Aircraft Owners and Pilots Association.
Prior to joining Vedder Price, Mr. Rapp was Associate General Counsel at a Fortune 5 and a Fortune 300 company. In addition to nearly thirteen years of in-house experience, Mr. Rapp spent more than five years in private practice at two of the world’s largest law firms.
