With more than 20 years' experience in corporate and securities transactions, Mr. Berger focuses on advising public companies and pre-public companies in a full range of business and financing transactions, including public offerings, private placements, mergers and acquisitions, and securities law compliance. He also has appeared before securities regulatory agencies on behalf of his clients. Mr. Berger has been involved in a broad range of industries, including education, publishing, high technology, insurance, airlines, manufacturing and restaurants.

Mr. Berger has been involved with all aspects of venture capital, representing both sources of capital and users of capital. He has experience in offerings of common stock, preferred stock, warrants and notes for issuers, as well as experience in the representation of venture capital investors in making portfolio investments. Mr. Berger has also represented both borrowers and financial institutions in secured and unsecured financings.

Mr. Berger's general corporate representation includes mergers and acquisitions; joint ventures; corporate organization and maintenance; acquisition of not-for-profit education organizations; limited liability companies/partnerships; and corporate governance.

He is the author of "Membership Interests as Securities" in New York Limited Liability Companies and Partnerships (West, 1995) and "Notices," in Negotiating and Drafting Contract Boilerplate (American Lawyer Publishing, 2003).
