Vedder Price Shareholder Named
to Auditing Standards Board

[New York,  January 15]  Dan L. Goldwasser – an equity shareholder and Chair of the Accounting Law Practice at the law firm of Vedder Price – has been named to the Auditing Standards Board (ASB).  The ASB is the senior technical committee of the American Institute of Certified Public Accountants (AICPA).  Mr. Goldwasser is one of only five public members of the ASB, which has the authority to publish statements of standards relating to the conduct of financial statement audits.  Such ASB statements constitute the authoritative standards for all private company audits.

According to Alan Koral, the head of the New York office of Vedder Price:  “There can be no question that Dan Goldwasser is uniquely qualified to play such a role at the ASB.  He is widely recognized as the leading legal expert on accounting law issues in the United States.”

In his 36 years of practice, he has been both a transactional lawyer and a trial lawyer, having represented business clients in a wide variety of corporate transactions (including proxy fights, mergers & acquisitions, tender offers and public and private offerings of securities) and defended professionals in over 150 liability cases.

In addition, Mr. Goldwasser has served on the defense panels of several insurers offering liability insurance to accountants, attorneys and directors and officers. Among his more notable achievements has been the amicus representation of the New York State Society of CPAs in a series of cases before the New York Court of Appeals upholding the “privity” defense.

He has written and spoken extensively in both areas, having appeared on seminars on directors’ and officers’ liability, business insurance, sales and resales of securities, blue sky regulations and a number of accounting issues.  He also served as an Instructor of Law at the Columbia Law School, teaching a course on Understanding Financial Statements.  He has written legal treatises on Accountants’ Liability and Sales of Restricted Securities (both published by the Practising Law Institute).  He is also the author of a chapter on “The Underwritten Offering” in Matthew Bender’s treatise entitled Securities Law Techniques, and three chapters on directors’ and officers’, accountants’ and lawyers’ liability insurance in Matthew Bender’s treatise entitled Liability Insurance.

Mr. Goldwasser has been an active member of the several professional associations and has served as the chair of the ABA’s Committee on Law & Accounting and subcommittee chairs of the ABA’s Committees on Federal Regulation of Securities and Professional Liability and the Association of the Bar of the City of New York’s Committee on Securities Regulation.  He also served as the ABA co-chair to the National Conference of Lawyers and Certified Public Accountants.
