2007 Summer Associates - Select Substantive Projects

  1. Met with Shareholder to discuss project; researched harassment and prima faci discrimination cases in MI; researched MI “same actor” cases; revised position statement for employment discrimination charge.
  2. Meeting with Senior Associate to discuss research project; research and analyze the enforceability of invention provisions/assignments under OH and TN law; draft and revise chart for Senior Associate detailing findings.
  3. Researched and analyzed judicial estoppel and whether deponents may contradict their deposition testimony in later affidavits for Shareholder.
  4. Discussion with Shareholder re: assignment to research issue for copyright infringement litigation: in determining the measure of an infringer's profits for purposes of a damages award, what expenses of the infringer are deductible from the infringer's gross revenues; perform research; discussion with Shareholder re: preliminary results of research; type memorandum with results of research; discuss memorandum with Shareholder.
  5. Discussion with Shareholder re: assignment to research and draft letter to magistrate judge re issue: in a patent infringement suit, what are the requirements for a lost profits determination of damages to be proper, as opposed to a reasonable royalty determination; draft letter to Magistrate Judge arguing for reasonable royalty damage standard and arguing for total reasonable royalty of monies; discussion with Shareholder re: argument that said monies is a reasonable royalty; revise letter to Magistrate Judge in preparation for settlement conference; discussions with Shareholders regarding revisions; final revisions to letter to magistrate judge for settlement conference.
  6. Review prior art references for preparation of response to Office Action; draft response to Office Action; revise response to Office Action; discussion with Shareholder regarding response.
  7. Review application and prior art for response to Office Action; discussion with Shareholder regarding previous amendment and response to European Patent Office; draft amendment and response to USPTO similar to previous response; discussion with Shareholder regarding response to Office Action.
  8. Closing checklists for Senior Associate: discuss deal background and assignment; review Merger Agreement documents; draft Closing Checklist; meet with Associate and discuss; review and draft revisions regarding pre-closing, closing deliveries, and post-closing procedures; continue discussions with Associate and revisions re: same.
  9. Meet with Shareholder, discuss corporate research question regarding Maryland and Delaware law; research Maryland Corporate Law statute for board of directors authority to issue stock and options; continued research regarding same; meet with Associate and discuss research re: same.
  10. Meet with Shareholder and Associates discuss introduction to aircraft lease due diligence report; perform detailed review of 16 aircraft lease agreements; draft applicable 8-page lease summary supplements in response to questions from underwriters counsel for IPO; numerous follow up discussions with Associates to review insurance section questions; continue to draft Lease Supplements; edit Lease Summary Supplement insurance sections; meet with Associate and discuss summary results.
  11. Meet with Associates to discuss transaction background, material document provisions, and due diligence assignments; review articles of incorporation and draft summary of key content; perform due diligence on ISB Financial, Inc. organizational charter documents, EEOC matters, and pending litigation; draft summary of same; draft and edit summary of ISB Financial due diligence; research Iowa corporation law for cases holding that rules with respect to fiduciary duties follow Delaware corporation law and report findings to Shareholder.

Met with Shareholder and discussed research project; researched and analyzed employment cases from Seventh Circuit for PLI Summaries; researched common law claims in recent Seventh Circuit employment opinions; reviewed Seventh Circuit employment decisions and drafted summaries of the cases; edit and revise final summary.
  16. Met with Shareholder to discuss project; drafted, revised and edited interrogatories and requests for documents and drafted notice of deposition to plaintiff.
  17. Researched the statute of limitations in Illinois for (1) breach of contract; (2) negligent misrepresentation; (3) fraudulent misrepresentation; (4) negligent infliction of emotional distress; and (5) intentional infliction of emotional distress; researched and analyzed the necessary elements to plead the above claims; researched and analyzed Illinois case authority regarding negligent misrepresentation to determine who is “in the business of supplying information”; researched and analyzed Illinois cases regarding intentional infliction of emotional distress (“IIED”) to determine whether IIED is a “continuous tort” and to determine what constitutes “extreme and outrageous” conduct in the employment setting.
  18. Read Confidential Descriptive Memorandum, online resources, and industry literature for client background; read background material on business transactions; review documents; update Preliminary Due Diligence Request List; review contracts; conference call with Shareholder, Associate and bank representative; supplement Preliminary Due Diligence Request List with additional items from other request lists; review documents; review edits to due diligence summary; conference call with bank representative.
  19. Research trustee issues created by securitization of leases; research issues regarding nature of secured creditors’ rights; conference with Shareholder re the same.
  20. Read case file of school expulsion and adoption termination case; researched circumstances under which adoptive parent's rights may be terminated; sat in on call between Shareholder and a Chicago Police Department detective; researched parental rights termination cases in Illinois; researched the Illinois Adoption Act; discussed specifics of mother in adoption termination proceeding with Shareholder; researched and began preparing outline of case law and Illinois Adoption Act concerning termination of adoptive parent's rights.
  21. Discussed 7th Circuit research project with Shareholder and conducted research for Shareholder’s PLI project; researched 7th Circuit employment decisions and pulled 7th Circuit “Title VII” cases within the last year; researched 7th Circuit ADA cases; outlined ADA and Title VII cases; read and outlined Title VII, ERISA, Sections 1981 and 1983, First Amendment and 7th Circuit cases to and added PLI outline.
  22. Researched Michigan law re: when an employer has an affirmative duty to warn prospective employers that a former employee is dangerous; wrote memo for Shareholder re the same.
  23. Research Illinois statutory provisions regarding dissolution of corporation; draft memo and client letter regarding voluntary dissolution of Illinois corporation; review edits to client letter; draft board resolution, shareholder resolution and dissolution plan as exhibits.
  24. Draft Employment Agreement with attention to non-compete provisions.
  25. Research Illinois lemon law, Automotive Repair Act, Consumer Fraud and Deceptive Business Practices Act, possible remedies for breach of warranty; research applicable statutes; draft Motion to Leave to file Amended Complaint; review documents from client; meet with Associate to draft Amended Complaint; draft First Amended Verified Complaint
